These Terms of Service ("Terms") govern your use of First Officer, a product of UpNonStop LLC ("we," "us," "our"). By using our service, you agree to these Terms.

1. What First Officer Is

First Officer is an AI-powered educational tool that helps you understand and get more from your credit card rewards and loyalty programs. We use artificial intelligence to analyze publicly available program information and your self-reported portfolio data to generate educational suggestions.

2. Eligibility

You must be at least 18 years old to use First Officer. By using our service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. Your Account

You are responsible for the accuracy of the information you provide, including card details, spending estimates, and loyalty program data. You agree not to provide false or misleading information. You are responsible for maintaining the security of your WhatsApp account and any connected integrations.

4. The Service

First Officer provides educational suggestions about credit card rewards, loyalty programs, and travel redemptions. These suggestions are generated by artificial intelligence based on publicly available program information and data you provide.

You acknowledge that:

• AI-generated information may contain errors and should be verified before acting on it
• Point values, transfer ratios, award availability, and program rules change frequently and without notice
• We cannot guarantee the accuracy, timeliness, or completeness of any information provided
• Acting on suggestions from First Officer is entirely at your own risk and discretion
• Some actions related to rewards (such as point transfers) may be irreversible

5. Prohibited Uses

You agree not to use First Officer to:

• Engage in manufactured spending, point selling, or any activity that violates credit card issuer terms
• Commit fraud or misrepresent your identity
• Reverse-engineer, scrape, or extract our AI models, algorithms, or proprietary data
• Share account access with unauthorized parties
• Use the service for any unlawful purpose

6. Subscriptions and Payments

Paid subscriptions are billed monthly via Stripe. By subscribing, you authorize recurring monthly charges to your payment method.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access until the end of the period you have already paid for.

Refund Policy

We want you to be satisfied with First Officer. Our refund policy:

• First 14 days: Full refund, no questions asked. Message us on WhatsApp to request.
• After 14 days: No refunds for the current billing period. Cancel anytime to prevent future charges.
• Annual plans (if offered): Pro-rated refund for unused months if canceled within the first 60 days.

7. Limitation of Liability

To the maximum extent permitted by law, UpNonStop LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of points, miles, or rewards value resulting from acting on information provided by First Officer
• Financial losses resulting from card applications, point transfers, or redemption decisions
• Missed opportunities, expired credits, or devalued programs
• Any damages arising from AI-generated errors, omissions, or inaccuracies

Our total liability for any claim arising from or related to these Terms or the service shall not exceed the amount you paid to us in the 12 months preceding the claim.

8. Disclaimer of Warranties

First Officer is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated information will be accurate or complete.

9. Intellectual Property

All content, features, and functionality of First Officer (including but not limited to AI models, algorithms, card routing logic, industry multiplier research, and design) are owned by UpNonStop LLC and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our proprietary content without explicit written permission.

10. Data and Privacy

Your use of First Officer is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using our service, you consent to our data practices as described in the Privacy Policy.

11. Third-Party Services

First Officer integrates with third-party services including AwardWallet, Plaid, Stripe, and WhatsApp. Your use of these integrations is subject to their respective terms of service and privacy policies. We are not responsible for the actions, data practices, or availability of third-party services.

12. Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes via WhatsApp or email at least 14 days before they take effect. Your continued use of the service after the effective date constitutes acceptance of the modified Terms.

13. Termination

We may suspend or terminate your access to First Officer if you violate these Terms, engage in prohibited uses, or if we determine in our sole discretion that continued service would be harmful to our business or other users. Upon termination, your data will be deleted in accordance with our Privacy Policy.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of San Diego County, California.
